Missing Project Upgrade Utility 2010.2

Hi there!

Just downloaded 2010.2 but I am missing the Project Upgrade Utility.

In the Utility folder i have only

Application Styling Configuration AddIn
Create Toolbox Tab for CLR 2.0
Create Toolbox Tab for CLR 3.5

 

Both ASP.Net and Winform are without......
