The structure seems fine. What is the result, did you see all referenced assembly recognized in VS project? Did you still see the warnings when you compile it? I am also recommending you if the project is build on separated machines to remove the content of the license file.

External
Source
In Source my solution is mapped
In external I have all DLL's
When adding a new reference, I first copy it to External, then add it via 'Add Referenct' -> Select a file -> get it from External

All my references are marked with 'Copy Local' and placed in a separate folder together with the solution
I will further check the link you sent me, however I believe that I wouldn't get that many warnings since most of the dll's are there
